1. AGREEMENT TO TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Olasales (“Company”, “we”, “us”, or “our”), concerning your access to and use of the https://olasales.com/ website, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). We are registered in England and have our registered office at 103 King Street West, Suite 1900 Toronto, M5X 1E3, Canada. By accessing the Site, you affirm that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and must discontinue use immediately. Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change. Please ensure that you review the applicable Terms every time you use our Site so that you understand which Terms apply. Your continued use of the Site after the posting of any revised Terms constitutes your acceptance of such revised Terms. The information provided on the Site is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. The Site is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use this Site. Unless otherwise indicated, the Site is the proprietary property of Olasales, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property laws. The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the Site, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. Subject to your eligibility to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, Content, and Marks.

3. USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and agree to comply with these Terms; (4) you are not a minor in your jurisdiction; (5) you will not access the Site through automated or non-human means; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation. Providing untrue, inaccurate, not current, or incomplete information may result in suspension or termination of your account.

4. User Registration

Registration with the Site may be required. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that it is inappropriate, obscene, or otherwise objectionable.

5. Fees and Payment

We accept Visa, Mastercard, American Express, and Discover. Some services may require payment, and you agree to provide accurate purchase and account information. You authorize us to charge your chosen payment method for any purchases made via the Site. Prices are in U.S. dollars and may change at any time. You agree to pay all charges or fees for your purchases and authorize recurring charges if applicable. We reserve the right to correct pricing errors and refuse any orders.

6. Free Trial

New users who register with the Site are offered a 14-day free trial. Subscriptions will be charged according to the user’s chosen plan at the end of the free trial.

7. Cancellation

All purchases are non-refundable. You can cancel your subscription at any time through your account settings or by contacting us at sales@olasales.com or +1 888-994-8993. Cancellations take effect at the end of the current paid term.

8. Prohibited Activities

By using the Site, you agree to only utilize it for its intended purposes and not for any commercial activities unless explicitly authorized by us. You must not:

• Extract data or content from the Site to create compilations or databases without our written consent.
• Attempt to deceive or obtain sensitive account information from us or other users.
• Interfere with security features or the proper functioning of the Site.
• Disparage or harm us or the Site in any way.
• Misuse information obtained from the Site to harass or harm others.
• Abuse our support services or submit false reports.
• Violate any applicable laws or regulations.
• Engage in unauthorized framing or linking.

9. USER GENERATED CONTRIBUTIONS

The Site does not offer users the ability to submit or post content. However, we may provide you with opportunities to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site. This includes text, writings, videos, audio, photographs, graphics, comments, suggestions, personal information, or other materials (collectively referred to as “Contributions”). Your Contributions may be viewable by other users of the Site and through third-party websites. Consequently, any Contributions you transmit may be treated in accordance with the Site’s Privacy Policy.

When you create or make available any Contributions, you represent and warrant that:

• The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe upon the proprietary rights, including but not limited to copyright, patent, trademark, trade secret, or moral rights of any third party.
• You are the creator and owner of, or have the necessary licenses, rights, consents, releases, and permissions to use and authorize us, the Site, and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms of Service.
• You have obtained the written consent, release, and/or permission of each identifiable individual person in your Contributions to use their name or likeness to enable inclusion and use of your Contributions in any manner contemplated by the Site and these Terms of Service.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
• Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable as determined by us.
• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
• Your Contributions are not used to harass or threaten any other person legally and do not promote violence against a specific person or class of people.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not violate the privacy or publicity rights of any third party.
• Your Contributions do not violate any applicable law concerning child pornography or intended to protect the health or well-being of minors.
• Your Contributions do not include any offensive comments connected to race, national origin, gender, sexual preference, or physical handicap.
• Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Service, or any applicable law or regulation.
• Any use of the Site in violation of the above terms violates these Terms of Service and may result in, among other things, termination or suspension of your rights to use the Site.

10. Contribution License

The Site does not offer users the ability to submit or post content. However, we may provide you with opportunities to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site. 11. SOCIAL MEDIA

As part of the Site’s functionality, you can link your account with third-party service providers’ online accounts (each referred to as a “Third-Party Account”) by either:

• Providing your Third-Party Account login information through the Site.
• Allowing us to access your Third-Party Account, as permitted under the applicable terms and conditions governing your use of each Third-Party Account.
• You represent and warrant that you have the right to disclose your Third-Party Account login information to us and/or grant us access to your Third-Party Account without violating any terms and conditions governing your use of the relevant Third-Party Account. This action does not obligate us to pay any fees or subject us to any usage limitations imposed by the third-party service provider of the Third-Party Account.

By granting us access to any Third-Party Accounts, you understand that:

• We may access, make available, and store (if applicable) any content you have provided to and stored in your Third-Party Account (the “Social Network Content”) so that it is accessible on and through the Site via your account, including friend lists.
• We may submit to and receive from your Third-Party Account additional information to the extent you are notified when you link your account with the Third-Party Account.
• Depending on the Third-Party Accounts you choose and subject to the privacy settings you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts may be available on and through your account on the Site. Please note that if a Third-Party Account or associated service becomes unavailable or our access to such Third-Party Account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through the Site. You will have the ability to disable the connection between your account on the Site and your Third-Party Accounts at any time.

YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS. We make no effort to review any Social Network Content for any purpose, including but not limited to, accuracy, legality, or non-infringement, and we are not responsible for any Social Network Content.

You acknowledge and agree that we may access your email address book associated with a Third-Party Account and your contacts list stored on your mobile device or tablet computer solely for the purpose of identifying and informing you of those contacts who have also registered to use the Site. You can deactivate the connection between the Site and your Third-Party Account by contacting us using the contact information below or through your account settings (if applicable). We will attempt to delete any information stored on our servers obtained through such Third-Party Account, except the username and profile picture associated with your account.

12. Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site (“Submissions”) provided by you to us are non-confidential and shall become the sole property of Olasales. We shall have exclusive rights, including all intellectual property rights, and shall be entitled to use and disseminate these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. By making Submissions, you waive all moral rights to them and warrant that they are original or that you have the right to submit them. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

13. Third-Party Websites and Content

The Site may contain links to other websites (“Third-Party Websites”) and third-party content (“Third-Party Content”). These Third-Party Websites and Third-Party Content are not monitored for accuracy, appropriateness, or completeness by us, and we are not responsible for them. Accessing Third-Party Websites or using Third-Party Content is at your own risk, and you should review their terms and policies. We do not endorse or approve Third-Party Websites or Content, and we are not liable for any losses or harm resulting from them.

14. U.S. Government Rights

Our services are considered “commercial items” as defined in federal regulations. If acquired by non-Department of Defense agencies, our services are subject to certain terms in accordance with federal regulations. If acquired by Department of Defense agencies, additional terms apply. This U.S. Government Rights clause supersedes any other clause or provision regarding government rights.

15. Site Management

We reserve the right, but not the obligation, to monitor the Site for violations of these Terms, take legal action against violators, restrict access to Contributions, remove excessive files, and manage the Site to protect our rights and ensure proper functioning.

16. Privacy Policy

We value data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms. By using the Site, you agree to our Privacy Policy and acknowledge that the Site is hosted in the United States.

17. Term and Termination

These Terms remain in effect while you use the Site. We reserve the right to deny access or terminate your use of the Site without notice or liability for any reason, including breach of these Terms or applicable laws. If we terminate your account, you are prohibited from creating a new one. We may also take legal action if necessary.

18. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at our sole discretion without notice. However, we are not obligated to update any information. We may also modify or discontinue all or part of the Site without notice. We will not be liable for any such changes, interruptions, or discontinuances, and we cannot guarantee the Site’s availability at all times. We may experience technical issues or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss or inconvenience caused by downtime or discontinuance of the Site.

19. Governing Law

These conditions are governed by and interpreted according to the laws of the United Kingdom. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are an EU consumer, you have additional protections under the law of your country of residence. Olasales and you agree to submit to the non-exclusive jurisdiction of the courts of England.

20. Dispute Resolution

Informal negotiations: Before initiating arbitration, the Parties agree to attempt to negotiate any Dispute informally for at least thirty (30) days.

Binding arbitration: Any dispute shall be determined by arbitration in accordance with the rules of the European Court of Arbitration, with the seat of arbitration in Skipton, United Kingdom, and the language of proceedings in English.

Exceptions to informal negotiations and arbitration: Certain Disputes are exempt from these provisions, including those related to intellectual property rights, theft, piracy, invasion of privacy, or unauthorized use, as well as claims for injunctive relief.

21. Corrections

We reserve the right to correct any errors, inaccuracies, or omissions on the Site without notice.

22. Disclaimer

The Site is provided on an as-is and as-available basis. We disclaim all warranties, express or implied, regarding the Site and your use thereof. We are not liable for any errors, inaccuracies, interruptions, viruses, or other harmful content on the Site.

23. Limitations of Liability

We and our affiliates will not be liable to you or any third party for any direct, indirect, or consequential damages arising from your use of the Site, even if we have been advised of the possibility of such damages. Our liability is limited to the amount paid by you to us during the six (6) month period prior to the cause of action arising.

You agree to defend, indemnify, and hold us harmless from any claims arising out of your use of the Site, breach of these Terms, violation of third-party rights, or harmful acts towards other users.

26. Electronic Communications, Transactions, and Signatures

California users can contact the Complaint Assistance Unit of the California Department of Consumer Affairs for assistance.

28. Miscellaneous

These Terms constitute the entire agreement between you and us. We may assign our rights and obligations to others. We are not liable for delays or failures beyond our control. If any provision of these Terms is deemed unlawful or unenforceable, it will not affect the validity of the remaining provisions. There is no joint venture, partnership, employment, or agency relationship between you and us.
